Terms of Service
These terms are the agreement between you and Auk Video Inc. for the use of Auk. They are written to be read, not to be skipped: if something here does not work for you, tell us before you sign up.

1. The agreement
You accept these terms, together with our Refund Policy, when you tick the box at sign up, or when you first sign in after we ask you to. Our Privacy Policy explains how we handle your personal information; it is a notice, not part of this contract. If you are agreeing on behalf of a company, you confirm you are allowed to bind it, and “you” means that company. You must be at least 18 years old and have reached the age of majority where you live, because an account can be a paid one.
These terms are available in French and English. If you are in Quebec, the French version was provided to you first; if you chose the English version, you did so expressly.
2. What Auk does
You give Auk a long video, by upload or by link. Auk downloads or receives it, extracts the audio, transcribes it, uses a language model to pick the moments most likely to work as short clips, cuts them, crops them to vertical while tracking whoever is speaking, adds captions and overlays, and renders finished MP4s. You can edit any of it before it renders, download the result, or publish it to a social account you have connected.
We change and improve the product continuously. We will not remove a feature you are paying for without the notice described in section 16.
3. Your account
Keep your credentials to yourself, and tell us at [email protected] if you think someone else has got into your account. You are responsible for what happens under it. One account is for one person or one organisation; do not share logins to avoid paying for a second account.
4. Your content stays yours
You own the video you bring and everything Auk makes from it. You keep every right in it.
So that we can actually run the service, you give us a licence to host, copy, transcode, transcribe, analyse, crop, caption, render and, when you tell us to, publish your content. The licence is limited to operating Auk for you, it is non-exclusive and worldwide because our servers and CDN are, and it ends when you delete the content or your account. We do not use your content to train machine-learning models, we do not use it in marketing without asking you first, and we do not show it to anyone you have not shared it with.
5. You must have the rights to what you upload
This is the clause that matters most, and the one people skip. You promise that, for every video you bring to Auk, you own it or have written permission from whoever does, including permission for the music, the footage, the graphics and the people appearing in it, and that processing and publishing it breaks no law and no agreement you are under.
Pasting a link does not grant you rights you do not already hold. Do not use Auk to download or repurpose someone else's video. If a rights holder tells us a video you processed is theirs, we will remove it, and repeat infringement ends your account. Send copyright complaints to [email protected] with the work, the URL, and your authority to act for the owner. We handle notices under Canada's Copyright Act, including forwarding a notice to the user it concerns and keeping a record of it.
We also accept notices in the form the U.S. Digital Millennium Copyright Act describes. A notice must identify the work, identify the material and where it is on Auk, give your contact details, and include a statement that you believe in good faith the use is not authorised and, under penalty of perjury, that the notice is accurate and that you are the owner or authorised to act for the owner, with your physical or electronic signature. If we remove your content and you believe that was a mistake, you may send us a counter-notice with the same details; we will restore the content unless the complainant tells us within 10 to 14 business days that it has started a court action.
6. Acceptable use
Do not use Auk to create, process or publish anything that:
- infringes copyright, trademark, privacy or publicity rights;
- sexualises a minor, or is sexual content involving anyone who did not consent;
- harasses, threatens, defames or incites violence against a person or a group;
- impersonates a real person or organisation, or is a synthetic depiction of a real person presented as genuine;
- is spam, malware, or coordinated inauthentic activity on any platform you publish to;
- breaks the rules of the platform you are publishing to, or any applicable law.
Do not attack the service itself: no scraping, reverse engineering, circumventing rate limits or credit metering, probing other tenants' data, or reselling Auk output as your own clipping service without a written agreement with us. We may suspend an account immediately to stop harm, and will tell you why.
7. Publishing to other platforms
When you connect a social account, you are dealing with that platform as well as with us, under its rules. Auk uses YouTube API Services. By using Auk's YouTube features, including connecting a channel or publishing to one, you agree to be bound by the YouTube Terms of Service, and Google's use of your information is governed by the Google Privacy Policy. You can withdraw our access at any time in Auk, or at Google's security settings permissions page.
Connecting a TikTok account means you also agree to the TikTok Terms of Service. Connecting an Instagram account means you also agree to the Instagram Terms of Use and the Meta Terms of Service. What we receive from each platform, and how to revoke it, is in section 2 of our Privacy Policy.
We publish only what you tell us to publish, to the account you choose, with the caption and settings you set. The platform decides what happens next: we are not responsible for a platform rejecting, limiting, demonetising or removing your video, or for changes a platform makes to its API that stop a feature working.
8. Credits, plans and payment
Auk meters the source, once. One credit covers one minute of source video, rounded up to the nearest minute with a one-credit minimum. You are charged when a video is processed, however many clips come out of it: clips, exports, re-edits, re-renders and publishing are free. Signing up grants trial credits and asks for no card. Free-plan exports carry a watermark; any paid plan removes it.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders: Paddle sells you the plan, takes your payment, charges any sales tax and issues your invoice, under Paddle's own buyer terms. We provide the service.
Your plan has no fixed end date: it renews each month or year until you cancel. You can cancel at any time in the billing portal, with no call or email needed; cancelling takes effect at the end of the period you have paid for, you keep your plan until then, and the credits you have left stay on your account after it. Credits do not expire while your account is open, and they have no cash value. If you are on a yearly plan, we email you at least 30 days before it renews, with the renewal date, the amount and how to cancel.
We may change the price of your plan by giving you written notice by email at least 30 days before your next renewal. The new price applies from that renewal. You can cancel before it, or within 30 days after it, at no cost, and we will refund the difference for the period after the change.
If a processing job fails through our fault, the credits it reserved are refunded to your balance automatically. Refunds of payments are covered by our Refund Policy, which is part of these terms: within 14 days of a first payment or a yearly renewal, you get back the share of it that paid for credits you have not used.
9. Automated output
Which moments become clips, where the crop points, and what the captions say are decided by models, and models are wrong sometimes. Transcripts contain errors. A highlight may miss the joke. Check the output before you publish it: you are responsible for what goes out under your name, and Auk is a tool, not an editor who signs off.
10. Our intellectual property
Auk, its software, its interface, its models and prompts, its name and its marks are ours and stay ours. These terms give you a licence to use the service, not a licence to our software. Feedback you send us we may use freely, with no obligation to you.
11. Ending it
You can stop at any time: cancel your subscription in the billing portal, or email [email protected] to have the account and its contents deleted, or use Request account deletion in Settings. We can suspend or close an account that breaks these terms, that is being used to harm someone, or that we are required by law to close, and we will tell you why unless the law stops us. Download anything you want to keep before you close an account: deletion is deletion.
If we decide to stop offering Auk, or to close your account for a reason that is not your breach of these terms, we will give you at least 60 days' notice by email so you can download your content, and refund any amount you paid for the period after closure.
If you are a consumer in Quebec: sections 12, 13 and 14 do not apply to you, because the Quebec Consumer Protection Act does not allow them. Your rights under that Act, including the legal warranty, apply in full.
12. No warranty
Auk is provided “as is”. We do not promise it will be uninterrupted, error free, or that the clips it picks will perform. To the fullest extent the law allows, we disclaim the implied warranties of merchantability, fitness for a particular purpose and non-infringement. If you are a consumer, you have legal rights that these terms cannot exclude, such as the right under Ontario law to services of reasonably acceptable quality, and the statutory rights of consumers in the European Union, the United Kingdom and elsewhere. Nothing in this section limits those rights.
13. Limitation of liability
Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, however caused. Our total liability arising out of or relating to these terms is limited to the greater of the amount you paid us in the twelve months before the claim, or one hundred Canadian dollars. These limits do not apply to our gross negligence, wilful misconduct or fraud, to death or personal injury caused by our negligence, to our obligations under privacy law, or to anything else the law does not allow us to limit. If you are a consumer, we do not exclude liability for losing your content through our fault.
14. Indemnity
If you use Auk for a business, you will defend and indemnify us against claims by third parties arising from content you brought to Auk or published through it, or from your breach of section 5 or section 6. If you are a consumer, this section does not apply to you; you remain responsible under the ordinary law for harm you cause. We will tell you about any such claim promptly and let you control the defence, and we will not settle it without your agreement.
15. Governing law and courts
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. If you use Auk for a business, the courts of Ontario, sitting in Toronto, have exclusive jurisdiction, and you and we both consent to them. If you are a consumer, you may bring a claim in the courts of the place where you live, and nothing in these terms takes away the protection of the mandatory laws of that place. If you are a consumer in Quebec, the laws of Quebec and the courts of Quebec apply to your contract to the extent the law gives you that right.
Nothing in these terms requires you to go to arbitration or stops you from joining a class action, if the law where you live gives you that right.
16. Changes, and the rest
Changes to these terms. We may change these terms, but only the following parts: the description of features in section 2, the plans, credit allowances and prices in section 8, the acceptable use rules in section 6, and the list of platforms in section 7. At least 30 days before a change takes effect we will email you a written notice that sets out the new clause, the clause as it read before, the date the change takes effect, and your rights. If the change increases what you owe or reduces what we provide, you may refuse it by cancelling your subscription, at no cost and with a refund of any amount paid for the period after the change, at any time up to 30 days after it takes effect. If you do not cancel, the change applies from its effective date. We will not change anything else in these terms without your express agreement.
If a clause is unenforceable, the rest survives. Not enforcing something once does not waive it. You may not assign this agreement without our consent; we may assign it to a successor of the business. These terms, together with the Refund Policy, are the whole agreement between us about Auk. Our Privacy Policy describes how we handle personal information; it is not part of this agreement.
